These Terms of Use constitute a legally binding agreement between you and AutoAI Flow ("we," "our," or "us") governing your access to and use of our website, platform, products, and services (collectively, the "Services"). By accessing or using our Services, you agree to these Terms of Use. If you do not agree to these terms, you may not access or use our Services.

We may modify these Terms of Use at any time. Your continued use of our Services following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page frequently so you are aware of any changes.

2. Eligibility and Account Registration

3.3 Subscription Terms

Subscriptions automatically renew unless cancelled at least 30 days before the renewal date. You authorize us to charge your payment method on a recurring basis. If your payment cannot be processed, we may suspend or terminate your account.

• Using any data mining, robots, or similar data gathering and extraction methods

6. AI and Machine Learning Terms

6.1 AI Models

Our Services include proprietary AI models and algorithms. You acknowledge that:

• The AI models we use are trained on various datasets, including publicly available information
• AI outputs are probabilistic in nature and not guaranteed to be accurate in all circumstances
• You are responsible for reviewing and verifying any outputs or recommendations generated by our AI

6.2 Data Use for AI Training

Unless explicitly agreed upon in a separate written agreement, we do not use your specific business data to train our general AI models. We may use aggregated and anonymized usage patterns to improve our Services.

6.3 Model Customization

If you opt for customized AI models trained on your data, these models are specific to your account and will not be shared with other customers without your explicit consent. You retain ownership of your data, while we retain ownership of the underlying technology and algorithms.

7. Disclaimers and Limitations of Liability

7.1 No Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTOAI FLOW, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
• ANY CONTENT OBTAINED FROM THE SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

IN ANY EVENT, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless AutoAI Flow, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Use or your use of the Services, including, but not limited to, your user content, any use of the Services' content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Services.

9. Termination

We may terminate or suspend your account and access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Use. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms of Use that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law and Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms of Use or the Services shall be resolved by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. The arbitration shall be conducted in English and shall take place in Delaware, United States.

Any judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Nothing in these Terms of Use shall prevent either party from seeking injunctive or other equitable relief from the courts for matters related to data security, intellectual property, or unauthorized access to the Services.

ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS, AND CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER.

11. Miscellaneous

11.1 Entire Agreement

These Terms of Use, our Privacy Policy, Refunds Policy, and Cookie Policy constitute the entire agreement between you and AutoAI Flow regarding your use of the Services and supersede all prior and contemporaneous written or oral agreements between you and AutoAI Flow.

11.2 Waiver and Severability

Our failure to exercise or enforce any right or provision of these Terms of Use shall not operate as a waiver of such right or provision. If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the other provisions shall remain in full force and effect.

11.3 Assignment

You may not assign or transfer these Terms of Use, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms of Use without such consent will be null and void. We may freely assign or transfer these Terms of Use without restriction.
